Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and ClearBalance Audits ("we," "us" or "our"), concerning your access to and use of the teachzulivara.sbs website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").
You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.
Services
ClearBalance Audits provides financial audit services to businesses in Canada. The scope of services will be outlined in a separate engagement letter or service agreement that will be provided to you before the commencement of any services.
Our audit services are conducted in accordance with Canadian Auditing Standards and relevant professional and ethical requirements. The nature, timing, and extent of our audit procedures will depend on the level of service requested.
Fees and Payment
The fees for our services are as displayed on our website or as agreed upon in a service agreement. All fees are quoted in Canadian Dollars (CAD) and are subject to applicable taxes.
Payment terms will be specified in your service agreement. We may require a deposit before commencing work. Invoices for ongoing services are typically issued monthly or upon completion of specific milestones.
Failure to make timely payments may result in the suspension or termination of services and may incur additional fees or interest charges as permitted by law.
Intellectual Property
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.
The Content and Marks are provided on the Site "AS IS" for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Client Responsibilities
You are responsible for providing accurate and complete information necessary for us to perform our services. This includes granting us access to all records, documentation, and other information that is relevant to our services.
You acknowledge that delays in providing requested information may affect the timeline for delivery of our services and may result in additional fees.
You are responsible for making all management decisions and performing all management functions, for designating an individual who possesses suitable skill, knowledge, and experience to oversee our services, and for evaluating the adequacy and results of the services performed.
Confidentiality
We will maintain the confidentiality of all information provided to us in connection with our services. However, we may disclose such information if required by law, regulation, or legal process, or if requested by a regulatory body or authority.
Our privacy practices are described in our Privacy Policy, which is incorporated into these Terms and Conditions by reference.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall we or our suppliers be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the service.
In no event will our aggregate liability exceed the amount paid by you for the services giving rise to such liability.
Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your breach of these Terms and Conditions.
Term and Termination
These Terms and Conditions shall remain in full force and effect while you use the Site or our services. We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms and Conditions.
Upon termination, your right to use the Site and our services will immediately cease. If you wish to terminate your agreement with us, you may simply discontinue using the Site and our services.
Governing Law
These Terms and Conditions and your use of the Site and our services are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
Changes to Terms
We reserve the right to modify or replace these Terms and Conditions at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Site and services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Site and our services.
